CarterWill Search is seeking a Corporate Associate to join a technology-focused AmLaw corporate practice in New York . This role provides the opportunity to work on venture capital, emerging company, and M&A transactions , advising clients across the growth and startup ecosystem.
About the Role

The ideal candidate will have 2-4 years of law firm experience , with a strong academic background and excellent verbal, written, and interpersonal skills . Responsibilities include:

• Advising clients on corporate transactions and venture financings
• Drafting and negotiating transaction documents
• Conducting legal research and preparing memoranda
• Collaborating closely with partners and clients throughout deal execution

Qualifications

• 2-4 years of corporate law experience , preferably in venture capital or M&A
• JD from an ABA-accredited law school
• Strong academic credentials and analytical skills
• Excellent drafting, negotiation, and client counseling abilities
• Ability to manage multiple transactions efficiently while maintaining attention to detail
